Thor Terms of Use

Introduction

These Terms of Use ("Terms") govern your access to and use of Thor, a Solana trading bot developed and operated by Odin Tools ("we", "us", "our"). Thor is available as a Telegram bot and as a companion browser extension.

By using Thor, you agree to be bound by these Terms. If you do not agree, do not use Thor.

Eligibility

You must be at least 18 years old to use Thor.

By using Thor, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are not located in, or a resident of, any jurisdiction where the use of cryptocurrency trading tools is prohibited or restricted by law
• You are not subject to economic sanctions or listed on any prohibited party list maintained by any government authority
• Your use of Thor complies with all applicable laws and regulations in your jurisdiction

Description of Service

Thor is a software tool that allows users to:

• Create and import Solana wallets
• Buy, sell, and swap Solana-based tokens
• Set limit orders (take-profit, stop-loss, trailing stop-loss)
• Copy trades from other wallets
• Monitor portfolio balances and profit/loss
• Configure trading preferences (slippage, priority fees, buy/sell amounts)
• Use a browser extension for quick trading from supported websites (DexScreener, Twitter/X, and others)

Thor interacts with decentralized protocols on the Solana blockchain, including Jupiter, Raydium, Meteora, Pump.fun, and Orca. Thor does not operate or control these protocols.

What Thor Is Not

Thor is not:

• A financial advisor, broker, dealer, or investment service
• A licensed exchange or trading platform
• A custodian of your funds
• A Money Services Business (MSB) or Virtual Asset Service Provider (VASP)
• A provider of investment advice, recommendations, or solicitations

Thor is a software tool that executes transactions on your behalf based on your instructions. All trading decisions are yours alone.

Wallet & Private Key Management

5.1 Wallet Creation and Import

Thor allows you to create new Solana wallets or import existing ones. When you create or import a wallet through Thor, your private key is encrypted and stored on our servers solely to enable you to execute trades without manually signing each transaction.

5.2 Non-Custodial Nature

Thor is a non-custodial tool. We do not hold, control, or have claim to your funds. The encrypted storage of private keys is a convenience feature that enables one-click and automated trading. You retain full ownership of and responsibility for your wallets and the funds within them.

5.3 Your Responsibilities

• You are solely responsible for the security of any seed phrases, private keys, or wallet credentials
• You must not share your seed phrases or private keys with any third party
• If you imported a wallet, we are not responsible for any access others may have to that wallet through the original seed phrase
• You may revoke Thor's access at any time by deleting your wallet from the bot

We do not guarantee:

• The execution, timing, or success of any trade
• The accuracy of price data, quotes, or market information
• The profitability of any trade or strategy
• Continuous, uninterrupted, or error-free service
• That limit orders or auto-sell triggers will execute at the intended price or at all

6.3 Slippage and Failed Transactions

Trades executed through Thor are subject to slippage, network congestion, and other on-chain conditions that may result in:

• Trades executing at a price different from what was quoted
• Trades failing entirely
• Loss of transaction fees (priority fees, network fees) even when a trade fails

6.4 Copy Trading Risks

If you use Thor's copy trading feature:

• Copying another wallet's trades does not guarantee similar returns
• Past performance of a copied wallet does not predict future results
• The copied wallet may execute trades in tokens with low liquidity, high risk, or fraudulent intent
• There may be a delay between the copied wallet's trade and yours, resulting in a different execution price
• We do not verify, endorse, or recommend any wallet you choose to copy

6.5 Smart Contract and Protocol Risks

Trades are routed through third-party decentralized protocols. These protocols may contain bugs, vulnerabilities, or be subject to exploits. We are not responsible for losses resulting from failures in any third-party protocol, smart contract, or blockchain network.

6.6 Blockchain Irreversibility

All transactions submitted to the Solana blockchain are permanent and irreversible. Once a transaction is confirmed on-chain, it cannot be reversed, cancelled, or modified by us or anyone else. We cannot recover funds sent to incorrect addresses or lost through erroneous trades.

Fees

7.1 Platform Fees

Thor charges a platform fee on trades. The current fee structure is disclosed within the bot. We reserve the right to modify fees at any time. Changes to fees will be communicated through the bot or our official channels before taking effect.

7.2 Network Fees

In addition to platform fees, all Solana transactions incur network fees (transaction fees and priority fees). These fees are paid to the Solana network, not to us. You are responsible for ensuring your wallet has sufficient SOL to cover network fees.

7.3 Promotional Fee Discounts

We may offer temporary fee discounts or promotions for specific tokens or user tiers. Such promotions are at our sole discretion and may be modified or discontinued at any time without notice.

Referral Program

8.1 Overview

Thor offers a referral program that allows users to earn a percentage of trading fees generated by users they refer. Referral rewards are paid in SOL.

8.2 Terms

• Referral reward percentages and tier structures are determined by us and may be modified at any time
• Referral rewards are earned only on trades executed through Thor by referred users
• We reserve the right to disqualify referrals that we determine to be fraudulent, self-referrals, or otherwise abusive
• Unclaimed referral rewards may be subject to expiry as communicated through the bot
• We reserve the right to suspend or terminate the referral program at any time

Acceptable Use

You agree not to use Thor to:

• Violate any applicable law, regulation, or third-party rights
• Engage in market manipulation, wash trading, front-running, or any form of fraudulent trading activity
• Use bots, scripts, or automated tools to abuse, exploit, or interfere with Thor's systems beyond the intended functionality
• Attempt to gain unauthorized access to Thor's infrastructure, other users' wallets, or private keys
• Use Thor to launder money or finance terrorism or other illegal activities
• Reverse-engineer, decompile, or attempt to extract the source code of Thor
• Circumvent any security measures, rate limits, or access controls
• Interfere with or disrupt the service or servers connected to the service

Account Suspension & Termination

10.1 By Us

We may, at our sole discretion and without prior notice, suspend or terminate your access to Thor if:

• You violate these Terms
• We are required to do so by law or regulation
• We detect fraudulent, abusive, or suspicious activity on your account
• Continued provision of the service to you poses a risk to us or other users

10.2 By You

You may stop using Thor at any time. You may delete your wallets from the bot to revoke Thor's access to your encrypted keys.

10.3 Effect of Termination

Upon termination, your right to use Thor ceases immediately. We are not obligated to retain or provide access to your data, trading history, or configuration after termination, except as required by applicable law. Any pending trades or limit orders may not be executed.

Limitation of Liability

To the maximum extent permitted by applicable law:

• Thor is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory
• We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy
• We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of Thor, including but not limited to:
  • Trading losses or lost profits
  • Failed, delayed, or incorrectly executed transactions
  • Loss of data or wallet access
  • Slippage or unfavorable execution prices
  • Downtime, service interruptions, or bugs
  • Actions of third-party protocols, blockchain networks, or other users
  • Unauthorized access to your wallet resulting from compromised credentials
  • Losses resulting from your failure to secure your seed phrase or private keys
• Our total aggregate liability to you for any and all claims arising from or related to your use of Thor shall not exceed the total fees you have paid to us in the 12 months preceding the claim

Indemnification

You agree to indemnify, defend, and hold harmless Odin Tools and its operator from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of Thor
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your trading activities and decisions
• Any dispute between you and a third party relating to your use of Thor

Third-Party Services

Thor relies on third-party services to operate, including but not limited to:

• Telegram — Communication platform
• Solana RPC providers (e.g., Helius, QuickNode) — Blockchain access
• DEX protocols (e.g., Jupiter, Raydium, Meteora, Pump.fun, Orca) — Trade routing
• Market data providers (e.g., Birdeye, DexScreener) — Price information

We do not control these third-party services and are not responsible for their availability, accuracy, or performance. Your use of these services may be subject to their own terms and conditions.

Intellectual Property

All intellectual property rights in Thor, including but not limited to the software, design, branding, and documentation, are owned by Odin Tools. These Terms do not grant you any rights to use our trademarks, logos, or brand assets.

You are granted a limited, non-exclusive, non-transferable, revocable license to use Thor in accordance with these Terms.

Modifications to These Terms

We may update these Terms at any time. The "Last Updated" date at the top of this document will reflect any changes. Material changes will be communicated through the bot or our official channels.

Your continued use of Thor after changes are published constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using Thor.

Modifications to the Service

We reserve the right to modify, suspend, or discontinue Thor (or any feature within it) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with the Thor Privacy Policy and the Odin Tools Master Privacy Policy, constitute the entire agreement between you and Odin Tools regarding your use of Thor and supersede all prior agreements, understandings, or representations.
